What Is an Apud Acta?

The Apud Acta (literally "alongside the minutes" in Latin) is a notarial record in which the notary documents declarations, statements, agreements, or facts that the parties make in their presence. Unlike a public deed, it does not elevate a legal transaction to public status, but simply attests to what is declared, granting it the maximum possible evidentiary value.

This notarial instrument is especially valuable when you need to leave official record of a will, an agreement, a factual situation, or a declaration that may be legally relevant in the future. The notary attests that the appearing persons made the statements contained in the minutes on the indicated day and time, with full capacity and knowledge.

The Apud Acta can document practically any lawful content: from agreements between partners on company management, to unilateral declarations on asset situations, to expressions of will on business strategies, waivers, consents, or any other act that the parties wish to have officially accredited.

With our online service, the notary performs the minutes via secure video call. The parties appear electronically, make their declarations before the notary, who documents them, and it is electronically signed with a qualified digital certificate. The result is minutes with exactly the same validity as if performed in person at the notary office.

When Do You Need an Apud Acta?

Partner agreements not elevated to public status

Shareholder agreements, competence distribution, non-compete clauses, permanence agreements, or any agreement between partners that does not modify bylaws but requires certainty.

Formal waivers and consents

Waiver of pre-emptive rights, consents for specific operations, partner authorizations, waivers of future legal actions that need official irrefutable record.

Documentation of important meetings

Board of directors meetings with critical decisions, complex extraordinary general meetings, meetings with investors where preliminary agreements are adopted before definitive formalization.

Accreditation of factual situations

State of a property before a lease, content of web pages on a specific date, status of files or documents, presence or absence of persons at meetings.

Protocol recording of private documents

Give certain date to private contracts, internal regulations, codes of conduct, prior agreements that need authentic date for effects against third parties or in insolvency proceedings.

Pre-constitute evidence for litigation

When you foresee a future conflict and want to document reliably your position, existing agreements, current situation, or any fact relevant to the eventual proceeding.
