Frequently asked questions

Can I really form an S.L. with 1 euro?−
Legally, yes, since the Crea y Crece Act. However, until the capital reaches €3,000, 20% of profits must go to the legal reserve, and in the event of liquidation, the partners are liable for the difference. A symbolic capital amount can also undermine credibility with banks and suppliers, so we'll discuss this with you.
Do all the partners have to be in the same place?+
No. Each partner connects to the video call from their own city or country. That's the main reason many formations involving international partners are now done this way.
How long until I can start invoicing?+
The deed is signed within a few days once the company name is secured. With the provisional NIF you can already open a bank account and enter into contracts; the final NIF arrives after registration, within 2-3 weeks in total.
What corporate purpose should I choose?+
Not too narrow (which forces you to amend the bylaws if you expand your activity), nor an overly broad catch-all (which registrars reject and some banks view with suspicion). We tailor it to your actual business activity and its likely growth.
I'm a foreigner and don't have a NIE, can I still be a partner?+
You need a NIE or NIF to form the company. We arrange it as part of the same engagement through a power of attorney, without you having to travel to Spain.
What's the difference from forming a company through CIRCE in 24 hours?+
CIRCE is fast but requires standard bylaws, leaving no room for agreements between partners, ancillary obligations, or transfer restrictions. If there will be several partners, those details are exactly what prevent a conflict three years down the line.
Do documents signed online have the same validity as those signed in person?+
Exactly the same. Law 11/2023 recognises the full legal validity of notarial documents executed by video call with a qualified electronic signature before a registered notary.
Do I need a digital certificate?+
Yes, to sign electronically you need a digital certificate or an electronic DNI. If you do not have one, we help you obtain it quickly before your appointment, with no additional handling fee.
Can I do it from abroad?+
Yes, the notarial video call works from any country. You only need a stable connection, your valid identity document and a digital certificate.
