Power of Attorney for the Purchase and Sale of Company Real Estate

Is this power valid for signing the public deed of purchase and sale?

Yes, absolutely. The power of attorney has full legal validity and authorizes your agent to appear before a notary and sign the public deed of purchase and sale with the same effects as if you did it personally.

The notary authorizing the purchase will verify that the power grants sufficient authority to carry out the transaction. That is why it is important to clearly specify the powers you grant when drafting the power.

Can I limit the power only to one transaction or specific property?+

Of course. In fact, it is most recommended if you only need to authorize a specific transaction. The power can be drafted with scope limited to:

  • A specific purchase or sale
  • A specific property (identifying it with address and cadastral reference)
  • A maximum or minimum price for the transaction
  • A specific period of time

You can revoke the power at any time through a notarial public deed of revocation. The revocation takes immediate effect once notified to the agent and third parties who may be involved in the transaction.

What documents do I need to grant the power?+

The necessary documentation is minimal:

  • Your identity document: Valid ID if Spanish, NIE if foreign resident, or passport
  • Complete agent details: Full name, ID/NIE/passport, and current address
  • Transaction description: If you want to limit the power to a specific property, you will need the cadastral reference or registry details
  • Digital certificate: Or access to the notary's remote identification system (Cl@ve, electronic certificate, etc.)
Can the agent sell my property at any price?+

Not necessarily. You decide the scope of the powers you grant. You can establish:

  • A minimum sale price below which it cannot be sold
  • A maximum purchase price that cannot be exceeded
  • Specific conditions that must be met (for example, sale free of charges)
  • Obligation to consult you before accepting offers

These limitations are expressly included in the text of the power of attorney to protect your interests.

What happens if there are problems with the transaction after granting the power?+

  • Manage mortgage subrogations
  • Process cancellation registrations at the Property Registry

Is a general power of attorney enough to sell a property?+
No. Article 1713 of the Civil Code requires an express mandate to transfer ownership. A power of administration, however broad it may seem, does not authorize the sale of real estate, and neither the notary nor the registrar will accept it.
What is an essential asset and how does it affect me?+
If the property exceeds 25% of the value of the assets on the latest balance sheet, it is presumed essential, and the transaction requires approval from the shareholders' meeting (art. 160.f LSC), not just the director's power of attorney. We verify this beforehand to avoid invalidating the sale.
Should I set a minimum price?+
Yes, always. It's the basic protection: without a minimum price, the proxy holder could sell below market value, and the transaction would still be valid against the buyer.
Does it include canceling the property's mortgage?+
Only if explicitly stated. In a sale with an outstanding mortgage, this is essential, as is the authority to assume the loan or receive the sale price.
Can the power of attorney expire once the transaction closes?+
Yes, it can be granted with validity limited to the transaction or to a specific date. This is highly recommended for powers of disposal.
Do documents signed online have the same validity as those signed in person?+
Exactly the same. Law 11/2023 recognises the full legal validity of notarial documents executed by video call with a qualified electronic signature before a registered notary.
