A subsidiary is a Spanish company with liability limited to its share capital; a branch has no separate legal personality, and the parent company is liable with its entire assets. A branch is quicker to set up, but exposes more risk. We review this with your figures before deciding.
What documentation does the parent company need?+
Deed of incorporation and bylaws, a recent certificate of good standing and officeholders, and the resolution approving the opening, all apostilled and with a sworn translation into Spanish. This is the most time-consuming part, so it's best to start here.
Does the branch pay taxes in Spain?+
Yes, as a permanent establishment, on income obtained in Spain, with its corresponding VAT, withholding tax, and accounting obligations. We coordinate with your tax advisor to ensure the tax registration properly reflects the activity.
Do I need a resident representative?+
You need a permanent representative with sufficient powers. It is not essential for them to reside in Spain, although in practice this greatly facilitates banking and administrative matters.
