Change of a company's registered office

What does changing the registered office involve?−
It is the modification of the official address of the registered headquarters recorded in the Commercial Registry. It requires a general meeting resolution, public deed before notary, registry registration, and communication to tax and administrative authorities.
What documents are needed to change the registered office?+
Articles of incorporation and current bylaws, general meeting minutes approving the change, proof of availability of new registered office (rental contract, property deed), and identification of the legal representative.
How long does the complete process take?+
The complete process usually takes between 3 and 4 weeks from the meeting resolution to registry registration and communications to authorities. The timeframe may vary depending on complexity and the Commercial Registry.
Can the procedure be done online?+
Yes, a large part of the process can be managed online: consultation, document preparation, and coordination with the notary. Physical presence is only required for signing the public deed, although digital signature can be used if available.
How much does it cost to change the registered office?+

Is it necessary to call a general meeting to change the registered office?+
It depends on the bylaws and the scope of the change. If the bylaws specify the exact address or the change is to another municipality, a general meeting is generally required. Must the registered office change be communicated to the Tax Agency?+
Yes, it is mandatory to communicate the tax address change to the Tax Agency using form 036 or 037 within one month of the change. It must also be communicated to Social Security and other authorities.
Does the registered office change affect the tax ID number?+
No, the tax ID remains unchanged. The company retains its legal personality and tax identification. Only the registered address changes, not the entity's identity.
What tax implications does changing autonomous community have?+
Changing autonomous community may affect the Property Transfer Tax rate, regional deductions, and available grants and subsidies. It is important to analyze these implications before deciding.
Do licenses need to be renewed after changing the registered office?+
It depends on the type of license and the scope of the change. Municipal licenses (activity, opening) are generally linked to the physical location. If you change municipalities, you will probably need new licenses from the new municipality.
Do I need to call a shareholders' meeting to change the registered office?+
Usually not. Since RDL 15/2017, the management body may relocate it anywhere within the national territory, unless the bylaws expressly provide otherwise. Many older bylaws do include such a restriction, which is why reviewing them is the first step.
Can the registered office be at my home?+
Yes, this is common for small companies. The registered office must correspond to the place of effective management or the main establishment, and a business run from home meets that requirement.
What happens if the registered address doesn't match the actual one?+
It causes serious problems: missed tax notifications, missed deadlines, and a presumption that the effective place of business is elsewhere. It's one of the most costly irregularities.
Does my Commercial Registry change if I move to another province?+
