Correction of Deeds with Registry Defects

Frequently asked questions

What is a negative registry qualification?
It is the act by which the registrar suspends or denies registration of a document pointing out defects that must be corrected. It can be for rectifiable defects (can be corrected) or non-rectifiable defects (requires a new document).
Do all grantors of the original document need to appear?+
It depends on the type of rectification. If it is correction of material errors or omissions that do not alter the intent, appearance of the interested party is usually sufficient. If substantial content is modified, all may be required.
How long do I have to rectify after the negative qualification?+
The timeframe varies by registry. At the Commercial Registry it is usually 60 days from notification of the qualification. If you don't rectify in time, the presentation entry expires and you must submit again.
How much does a notarial rectification cost?+
Notarial fees are lower than for the original document. Approximately 40-80 EUR depending on complexity, plus our processing fees. Request an exact quote.
Can I rectify a document granted years ago?+
Yes, if there is a pending registry qualification or if you later discover an error that needs to be corrected. There is no time limit for rectifying material errors.
Does the rectification have to be done by the same notary as the original document?+
Not necessarily. Any notary can authorize a rectification, although it is common for it to be the same one who authorized the original document as they have better knowledge of the act.
What's the difference between rectification and amendment?+
Rectification corrects formal errors without altering the will of the parties. Amendment modifies the content of the legal transaction by new agreement of the parties and requires appearance of all grantors.
Can I rectify a notarial power of attorney?+
Yes, if it has errors in identification data, granted powers, or any other formal aspect. The principal appears before the notary to authorize the rectification.
Does the rectification require new registry fees?+
Generally no, if submitted within the timeframe established by the registry. The rectification uses the presentation entry of the original document.
What happens if the defect is non-rectifiable?+
If the registrar qualifies the defect as non-rectifiable, rectification is not enough. You must grant a new document correcting the error from the beginning. In these cases we advise you on how to proceed.
Do all defects require the parties to sign again?+
No. Obvious material errors can be corrected by the notary through an official annotation (art. 153 of the Notarial Regulations). Only when the correction affects the substance of the transaction is the consent of the signing parties required.
How much time do I have to make the correction?+
The presentation entry lasts 60 business days, extendable in certain cases. After that period, you lose registry priority, which can be serious in a sale or mortgage transaction.
Can I appeal the assessment instead of correcting it?+
Yes, before the Directorate General for Legal Certainty and Public Registries (DGSJFP), within one month. We assess whether the defect is debatable: not every negative assessment is correct, and simply conceding can sometimes cost more than appealing.
What if the defect is a missing shareholders' meeting resolution?+
It will need to be adopted and formalized into a public deed. This is one of the more labor-intensive defects, which is why it's important to identify these requirements before the initial deed.
How much does the correction cost?+
It depends on the type of defect and whether a new appearance is required. Correction annotations for material errors are notably less expensive than executing a new deed.
Do documents signed online have the same validity as those signed in person?+
Exactly the same. Law 11/2023 recognises the full legal validity of notarial documents executed by video call with a qualified electronic signature before a registered notary.
Do I need a digital certificate?+
Yes, to sign electronically you need a digital certificate or an electronic DNI. If you do not have one, we help you obtain it quickly before your appointment, with no additional handling fee.
Can I do it from abroad?+
