Changing a company's corporate name

Change your company's name without losing its registry history or its Tax ID (NIF).

Changing the corporate name does not create a new company: the legal entity remains the same, keeping its NIF, its history and its contracts. It requires a negative name certification for the new name, a shareholders' meeting resolution passed with a reinforced majority, a notarial deed and registration, followed by updating the identity with banks, sector registries and invoicing.

Frequently asked questions

What does changing the company name involve?
It is the modification of the company's official name registered in the Commercial Registry. It requires a general meeting resolution, certificate of availability of the new name, public deed before notary, and registry registration.
What documents are needed to change the company name?+
Negative name certificate from the Central Commercial Registry, articles of incorporation and current bylaws, general meeting minutes approving the change, and identification of the legal representative.
How long does the complete process take?+
The complete process usually takes between 3 and 4 weeks from initial verification to registry registration. The timeframe may vary depending on Commercial Registry speed and case complexity.
Can the procedure be done online?+
Yes, a large part of the process can be managed online: consultation, name verification, document preparation, and coordination with the notary. Physical presence is only required for signing the public deed, although digital signature can be used if available.
How much does it cost to change the company name?+
The cost includes the Central Commercial Registry certification (€13-40), notary fees according to schedule (€50-150), Commercial Registry fees (€40-100), and our management fees. Request a quote without obligation.
Is a general meeting required?+
Yes, changing the company name involves amending the bylaws, which requires a general meeting resolution with the legal or statutory majorities established (generally absolute majority or two-thirds depending on the type of company).
Can I choose any name for my company?+
No, the name must be available (no coincidence with other companies), cannot mislead about the corporate purpose, cannot contain prohibited or reserved terms, and must respect third-party industrial property rights.
What happens with contracts signed under the previous name?+
The company retains its legal personality, tax ID, and responsibilities. Previous contracts remain valid. It is recommended to communicate the change to clients, suppliers, and authorities to update their records.
Does the tax ID need to be changed after the name change?+
No, the tax ID (Tax Identification Code) remains unchanged, as the company retains its legal personality. Only the name changes, not the entity's tax identity.
Does the name change affect licenses and authorizations?+
Administrative licenses and authorizations remain valid, but you must communicate the change to the corresponding authorities to update their records and avoid problems in future renewals or inspections.
Does my company's NIF change?+
No. The company remains the same legal entity: it keeps its NIF, seniority, registry history, contracts and licenses. Only its name changes.
What happens to contracts and invoices already issued?+
They remain valid. From the moment of registration, invoicing must use the new corporate name, and it's advisable to notify clients and suppliers of the change, providing the deed if requested.
Can I use my commercial brand as the corporate name?+
Yes, if it's available at the Central Commercial Registry. Keep in mind: the name being available there doesn't mean the trademark is free to use. We check both aspects beforehand, since matching a third party's trademark is the fast track to a legal demand.
Do I need to notify anyone else?+
Yes: the Tax Agency (census), Social Security, banks, sector registries, municipal licenses and insurers. We provide you with the specific list of what needs updating in your case.
How long does it take?+
Between two and three weeks from the negative certification to registration. The reserved name has limited validity, so it's best not to let the deadline lapse.
Do documents signed online have the same validity as those signed in person?+
Exactly the same. Law 11/2023 recognises the full legal validity of notarial documents executed by video call with a qualified electronic signature before a registered notary.
Do I need a digital certificate?+
Yes, to sign electronically you need a digital certificate or an electronic DNI. If you do not have one, we help you obtain it quickly before your appointment, with no additional handling fee.
Can I do it from abroad?+
Yes, the notarial video call works from any country. You only need a stable connection, your valid identity document and a digital certificate.
How much does this service cost?+
The quote includes the official notarial fees set by the Notarial Association plus our handling, fixed before you start and with no hidden costs. Request it with no obligation via WhatsApp or the form.
What if I have questions during the process?+
Our team supports you from start to finish via WhatsApp, phone or email, and the notary answers all your legal questions before signing.
